IP masquerade probably does what you need.

/usr/share/doc/HOWTO/IP-Masquerade-HOWTO

or something like that.  Distro kernels usually have the necessary
features built in, and the rest of it is pretty straightforward.  If
you have dial-on-demand, anybody using your box as a gateway will too.

The modem probably has to be on the Linux box.
