Well, I am no legal expert, but I would guess that the MS spindoctors would 
put a lot of weight into your use of the word 'second' :) As long as you 
upgrade the machine around the software, there would be no problem, but 
installing on a second machine constitutes a transfer of licence. 

I'm not sure that anyone can answer the question of what constitutes the 
'original hardware' and what doesn't, least of all the MS licence writers, it 
seems!
